Scope of Agreement
Metranti provides services related to software development, artificial intelligence automation, digital product development, and the planning, execution, and delivery of technology projects. The scope of the services purchased by the customer is defined by the proposal issued by Metranti and accepted by the customer, the project requirements, and the applicable project agreement. The scope of work, deliverables, fees, payment terms, project milestones, and any applicable revision allowances shall be specified in the relevant proposal or project agreement. General promotional content does not override the specific terms of an accepted proposal or project agreement.
Proposal Validity and Acceptance
Each proposal issued by Metranti is valid for the period specified in the proposal. The customer may accept a proposal only through the acceptance process provided by the platform. Acceptance may require a verified email address. For verification and audit purposes, relevant technical information, including the acceptance timestamp, network address, user agent, and device fingerprint, may be recorded. If the platform cannot verify an acceptance, the acceptance may be rejected pending additional verification. If an acceptance attempt fails, the customer may contact the support team for assistance. By accepting a proposal, the customer confirms that they have reviewed and agreed to the scope of work, deliverables, fees, payment terms, and other conditions specified in the proposal.
Payment Before Delivery
Payment must be successfully confirmed before paid work begins, unless otherwise expressly agreed in writing by Metranti and the customer. Once payment is confirmed, Metranti may begin the work described in the accepted proposal, subject to the agreed project scope, deliverables, and schedule. The applicable fees, payment method, and any payment milestones will be specified in the relevant proposal or project agreement. Any additional work outside the agreed scope may require a separate proposal and additional payment. If payment cannot be confirmed, Metranti may delay the start of work or suspend the project until the payment issue is resolved. Payment confirmation does not waive any refund rights that may apply under Metranti’s Cancellation and Refunds Policy or applicable law.
Revisions, Bug Fixes and Change Requests
Metranti distinguishes between bug fixes, revisions, and change requests as follows: **Bug Fixes:** If a delivered item fails to meet the requirements expressly agreed in the accepted proposal, Metranti will review the issue and, where the failure is confirmed, make reasonable corrections to bring the deliverable into compliance with the agreed requirements. **Revisions:** Revisions are limited to the number, scope, and conditions specified in the accepted proposal. Any revision request must relate to the agreed project scope. **Change Requests:** Requests that introduce new features, additional functionality, or requirements outside the accepted scope of work may be treated as additional work and may require a separate proposal, revised timeline, and additional fees. Customers must provide a clear description of reported issues or requested changes. Metranti will assess each request and inform the customer whether it qualifies as a bug fix, an included revision, or additional work. Nothing in this section limits any rights or remedies that cannot lawfully be excluded under applicable law.
Delivery Review and Acceptance
Upon delivery, the customer is responsible for reviewing the deliverables against the scope, specifications, and requirements set out in the accepted proposal. The customer should notify Metranti of any identifiable defects, missing items, or material deviations from the agreed requirements within the review period specified in the proposal or project agreement. The notification should include sufficient details to allow Metranti to investigate the issue. Metranti will review reported issues and, where a deliverable is confirmed not to meet the agreed requirements, determine the appropriate corrective action in accordance with the accepted proposal and the Revisions, Bug Fixes and Change Requests section of these Terms. If the customer does not respond to a delivery notification, silence alone will not be treated as acceptance of the deliverables. Metranti may send follow-up communications to request feedback or confirmation, but will not record acceptance on the customer's behalf. This section does not limit any rights or remedies available to the customer under applicable law or the agreed project terms.
Intellectual Property
Customers retain ownership of the data, materials, content, and intellectual property they provide to Metranti. Customers are responsible for ensuring that they have the necessary rights to provide such materials for use in a project. Unless otherwise expressly agreed in writing, Metranti retains ownership of its pre-existing tools, frameworks, reusable components, general-purpose modules, development methods, integrations, security tools, deployment tools, and other materials developed independently of the customer's specific project. Ownership of project-specific deliverables, including any transfer or assignment of intellectual property rights, will be governed by the accepted proposal or a separate written agreement. Payment alone does not transfer ownership of intellectual property unless the applicable agreement expressly provides for such transfer. Where source code ownership or a full source code transfer is offered as a separate option, the applicable scope, fees, licensing terms, and transfer conditions will be specified in the relevant proposal or written agreement. Unless otherwise agreed in writing, Metranti may continue to use its general skills, experience, methods, and know-how gained while providing the services, provided that it does not disclose the customer's confidential information or use materials in violation of the customer's rights. Nothing in this section limits any rights that cannot lawfully be excluded under applicable law.
Limitation of Liability
To the maximum extent permitted by applicable law, Metranti shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, data, or anticipated savings, arising out of or in connection with the use of its services. To the maximum extent permitted by applicable law, Metranti's total aggregate liability arising out of or relating to a specific project or service shall not exceed the total amount paid by the customer to Metranti for the specific project or service giving rise to the claim. Metranti shall not be responsible for delays, interruptions, or failures caused by circumstances beyond its reasonable control, including third-party service outages, hosting provider failures, payment processor disruptions, or events beyond reasonable control. The customer remains responsible for reviewing deliverables, maintaining appropriate backups of their own data, and ensuring that the services and deliverables meet their business and technical requirements before using them in a production environment. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for fraud, wilful misconduct, or any other liability that cannot legally be excluded or limited.
